AccessLex Institute (“AccessLex” or the “Company”) is a non-profit member organization fostering broad-based access to quality US-based legal education and working to maximize the value and affordability of a law degree through policy advocacy, research, and student-focused initiatives.  Please read the following terms and conditions carefully.  By using the accesslex.org and related websites, including any Hosted Websites as defined in the Company’s Privacy Policy (collectively herein, the “Site”), you agree to be subject to these terms and conditions.  You also agree to the terms set forth in our Privacy Policy.  These terms and conditions, along with our Privacy Policy, constitute the entire agreement between you and the Company concerning use of the Site.

If you do not agree to abide by our Privacy Policy and these Terms of Use, please do not continue using this Site.

 

CHANGE TO TERMS

We expressly reserve the right to update or amend these Terms of Use from time to time. All such updates and amendments are effective immediately. We will provide you with notice of any amendments/updates by any reasonable means, such as posting a revised version of these Terms on the Site. You should view these Terms periodically to stay informed of changes that may affect you, as your continued use of the Site signifies your continuing consent to be bound by these Terms, including any updates and amendments as noted above.

 

ACCESS AND USE

In these Terms, “you” refers to an individual accessing the Site, regardless of the particular features, materials, opportunities or services made available on the Site that you choose to browse, use or take advantage of. To the extent applicable, “you” also includes the corporation or other legal entity (“Your Company”), if any, on whose behalf you are accessing the Site. You represent and agree that all information that you provide to AccessLex in connection with your access to and use of the Site is, and shall be true, accurate, and complete to the best of your knowledge, ability, and belief. We reserve the right to terminate these Terms, or to refuse, restrict, or discontinue service or access to the Site (or any portions, components, or features of the Site) to you or any other person or entity, for any reason or for no reason whatsoever, at any time, without notice or liability. Failure to comply with these Terms may, among other things, result in the immediate termination of your access to and use of the Site.

 

PRIVACY POLICY

Information that you provide or that we collect about you and/or your Company through your access to and use of the Site is subject to our Privacy Policy, the terms of which are hereby incorporated into these Terms by reference. We encourage you to read and become familiar with our privacy practices as described in our Privacy Policy.

 

RESTRICTIONS ON USE/PROPRIETARY CONTENT

AccessLex respects the intellectual property rights of others and expects you to do the same. We have expended substantial time, effort and funds to create the Site and to collect and provide the features, materials, opportunities, and services that are available on or through the Site. All contents of the Site, including the design, “look and feel,” layout, graphics, images, logos, icons, software, text or video are the property of AccessLex and are protected by the United States and international copyright, patent and trademark laws. Subject to the terms and conditions outlined below, you may download, reprint or reproduce the information and materials contained in the Site solely for personal or other noncommercial purposes so long as you do not modify the information and you keep intact any copyright notices as they appear in these materials. No portion of the information or materials contained in the Site may be downloaded, reprinted, republished, modified or distributed for commercial purposes without the express written permission of AccessLex.

You agree that you will not use the Site for any unlawful purpose. You further agree that you will not use any robot, spider, scraper or any other automatic or computer-generated device or manual process to monitor or copy the Site pages or content contained herein without the Company’s express written permission. Additionally, you agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site.

 

RESTRICTIONS ON USE/UNLAWFUL OR IMPROPER USE OR MISUSE

You agree that you will not, and will not knowingly permit others to:

  1. Use the Site for any unlawful purpose;
  2. use any robot, spider, scraper or any other automatic or   computer-generated device or manual process to monitor or copy the Site pages or content contained herein without the Company’s express written permission;
  3. use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site;
  4. defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as rights of privacy, publicity and intellectual property) of others, including but not limited to Company service-providers (as set forth in the Company’s Privacy Policy), or interfere with another party’s use of the Site;
  5. publish, ship, distribute or disseminate any harmful, infringing, fraudulent, tortious, or unlawful material or information (including any unsolicited commercial communications);
  6. misrepresent, or in any other way falsely identify, the Company’s identity or affiliation, including through impersonation or altering any technical information in communications using the Site;
  7. knowingly transmit or upload any material through the Site containing viruses, trojan horses, worms, time bombs, cancelbots, or any other programs with the intent or effect of damaging, destroying, disrupting or otherwise impairing the Company’s, or any of the Company’s service-providers, or any other person’s or entity’s, network, computer system, or other equipment;
  8. interfere with or disrupt the Site, networks or servers connected to the Site or violate the regulations, policies or procedures of such networks or servers, including unlawful or unauthorized altering of any of the information submitted through the Site;
  9. attempt to gain unauthorized access to the Site, other end-users’ computer systems or networks using the Site through any means;
  10. copy, modify or create derivative works or improvements of any Site content;
  11. reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Site, in whole or in part;
  12. bypass or breach any security device or protection used by the Site, or access or use the Site other than through the use of then valid access credentials;
  13. remove, delete, alter or obscure any trademarks, Documentation, warranties or disclaimers, or any copyright, trademark, patent or other Intellectual Property Rights notices from the Site; or
  14. access or use the Site for purposes of the development, provision or use of a competing service or product.

 

SITE ACCESS SECURITY

In using the services on the Site, you may be asked to provide personal information about yourself, such as your name and contact information. The Company’s collection, use and disclosure of personal information are governed by our Privacy Policy .

If you register on the Site, you will be requested to create a password and username. You are solely responsible for maintaining the confidentiality of your account, including the security of your password. You agree that the Company will not be responsible for any ensuing damages, whether actual or hypothetical or consequential, as may result from or relate to any use of your password by a third party, whether authorized or unauthorized.

In the event of any unauthorized use of your password and/or account and any breach of security relating to your use of the Site, you agree to notify us promptly via e-mail at support@accesslex.org.

CONSENT TO APPLICATION OF US LAW

AccessLex is a US-based Company incorporated and operated in accordance with US law.  At this time, our mission does not encompass the advancement of legal education (or similar) outside the US.  Accordingly, if you are located outside the US, you agree that your use of the Site is at your own risk.  Furthermore, by using this Site, you consent to your Information being collected, processed, stored and transferred as set forth herein and in our Privacy Policy, and consent to the application of US law to same.

 

CHOICE OF LAW AND VENUE

These terms and conditions are entered into in the Commonwealth of Pennsylvania and, shall be governed by and construed in accordance with the laws of the State of Delaware, exclusive of its choice of law rules. By using the Site, you agree to submit to the exclusive jurisdiction of the state and federal courts in Chester County, Pennsylvania and waive any jurisdictional, venue or inconvenient forum objections to such courts. In the event that any of these terms and conditions are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the extent necessary so that these terms and conditions, and the content of our Privacy Policy, shall otherwise remain in full force and effect.
